Short answer: A single-member LLC in Pennsylvania is an LLC with one owner. You form it the same way as any Pennsylvania LLC, by filing a Certificate of Organization with the Department of State for $125, and you file a $7 annual report each year. By default, the IRS and Pennsylvania treat a single-member LLC as a “disregarded entity,” so its profits are reported on the owner’s personal tax return. It can also elect to be taxed as an S corporation.

How is a single-member LLC taxed in Pennsylvania?

Default: disregarded entity

Unless you choose otherwise, the LLC’s income and expenses are reported on your personal federal return, usually on Schedule C, and on your Pennsylvania personal income tax return. You generally pay self-employment tax on the profits.

Electing S corporation status

A single-member LLC can elect to be taxed as an S corporation. The owner then takes a reasonable salary through payroll, and remaining profits may avoid self-employment tax. This can save money once profits are high enough to cover the extra payroll and accounting costs. Talk with your accountant before you elect.

Local taxes

Some municipalities charge local business taxes, and wages paid through payroll are subject to local earned income tax. Check with your township, borough or city.

Keeping your liability protection

A court can disregard an LLC and hold the owner personally liable in some situations, often called “piercing the veil.” Single-member LLCs are especially at risk when the owner treats the business as an extension of themselves. Protect yourself by:

  • Keeping business and personal money in separate accounts
  • Signing contracts in the LLC’s name, as a member or manager
  • Keeping the LLC adequately funded and insured
  • Following your operating agreement and keeping basic records
  • Filing the annual report so the LLC stays in good standing

Single-member LLC operating agreements

Pennsylvania does not require a written operating agreement, but one is especially valuable for a single-member LLC. It helps show the LLC is a separate business, banks often ask for one, and it can name who takes over if you die or become incapacitated, so the business can keep running while your estate is settled. Single-member LLC vs. sole proprietorship

A sole proprietorship needs no formation filing, and if you use a business name you register a fictitious name for $70. But you are personally responsible for all business debts.
