Pennsylvania LLC Annual Report: Deadline, Fee and How to File

Short answer: Since 2025, every Pennsylvania LLC must file an annual report with the Department of State each year between January 1 and September 30. The fee is $7 for most LLCs. Online reports are approved automatically and take only a few minutes. Starting with reports due in 2027, an LLC that does not file can be administratively dissolved six months after the deadline and can lose the exclusive right to its name.

Who must file a Pennsylvania annual report?

Most registered business entities, both Pennsylvania and out-of-state, must file, including:

  • Limited liability companies
  • Business and nonprofit corporations
  • Limited partnerships and limited liability partnerships
  • Professional associations and business trusts
  • Foreign (out-of-state) entities registered to do business in Pennsylvania

Fictitious names and general partnerships that are not LLPs do not file annual reports.

Annual report deadlines by entity type

  • Corporations: January 1 to June 30
  • LLCs: January 1 to September 30
  • LPs, LLPs, business trusts and professional associations: January 1 to December 31

How much does the annual report cost?

  • $7 for LLCs, business corporations, LPs and LLPs
  • $0 for nonprofit corporations and LLCs or LPs with a not-for-profit purpose

Watch out for mailers from private companies offering to file your “annual report” for a much higher fee. You can file directly with the state for $7.

How to file your PA LLC annual report

  1. Go to the Department of State’s Business Filing Services site and log in or create an account.
  2. Use Business Search to find your LLC.
  3. Select the annual report option. No PIN is required.
  4. Confirm or update your company’s information, such as its registered office and the names of key people.
  5. Pay the $7 fee by credit card.

Reports filed online are approved automatically, and a copy is available within minutes. Paper filings take longer, and there is no expedited option.

What happens if you miss the deadline?

Beginning with reports due in 2027, a Pennsylvania entity that does not file will be administratively dissolved six months after its due date. Out-of-state entities have their registration administratively terminated. Once that happens, the entity loses the exclusive right to its name, and another business can take it.

Reinstating an administratively dissolved LLC

A Pennsylvania LLC can be reinstated with no time limit. The state fee is $35 online or $40 on paper, plus $15 for each unpaid annual report. If another business has taken the name in the meantime, the LLC may need to choose a new one. Out-of-state entities cannot reinstate and must register again.

Annual report vs. other yearly obligations
