The Pennsylvania annual report
Starting in 2025, Pennsylvania LLCs must file an annual report with the Department of State. The fee is $7, and LLCs file between January 1 and September 30 each year. Beginning with the 2027 deadline, an LLC that does not file can be administratively dissolved six months after the due date and can lose its name. Costs the state fee does not cover
- An operating agreement. Pennsylvania does not require you to file one, but every LLC with more than one owner should have one. It sets out ownership, voting, money and what happens if an owner leaves or dies.
- An EIN. Free from the IRS. Most LLCs need one to open a bank account.
- Taxes. LLCs are usually taxed as pass-through entities. Talk with your accountant about income and local taxes.
- Licenses. Some trades and towns require their own licenses or permits.
