Short answer: To check whether an LLC name is available in Pennsylvania, search the Department of State’s online Business Search on its Business Filing Services site. Your LLC name must be distinguishable from names already on record and must include a designator such as “LLC,” “Limited Liability Company,” “Company” or “Limited.” If you are not ready to form the LLC, you can reserve a name for 120 days for a $70 fee.

A name that is available with the state is not automatically safe to use, though. This guide covers the state search, naming rules, reservations, and the extra checks that can save you from a costly rebrand.

How to do a PA LLC name search

  1. Go to the Pennsylvania Department of State’s Business Filing Services site and open Business Search.
  2. Search for the main words in your proposed name, not just the exact name. Similar names can block yours.
  3. Review results for active and inactive entities with names close to yours.
  4. If nothing conflicts, you can file your Certificate of Organization or reserve the name.

Pennsylvania LLC naming rules

  • Distinguishable. The name must be distinguishable from the names of other entities already on file. Small differences, such as punctuation or “the,” usually are not enough.
  • Required designator. The name must include a word such as “company,” “limited” or “limited liability company,” or an accepted abbreviation such as “LLC.”
  • Restricted words. Words that suggest a regulated business, such as bank, insurance or a licensed profession, may require approval or may not be allowed.

Reserving an LLC name in Pennsylvania

If you need time before forming the LLC, you can file a name reservation with the Department of State. The reservation holds the name for 120 days, and the filing fee is $70. Many owners skip this step and simply file the Certificate of Organization, which costs $125 and secures the name immediately.

Beyond the state search

The Department of State only checks for conflicts with other Pennsylvania registrations. Before you commit to a name, also check:

  • Trademarks. Search the U.S. Patent and Trademark Office database. A business in another state with a federal trademark could force you to change your name, even if Pennsylvania accepted it.
  • Domain names and social media. Make sure you can get a matching website address and handles.
  • Local use. A quick web and Google Maps search can reveal businesses using the name without a state registration.

Using a different name than your LLC’s legal name

If your LLC will do business under a name that is different from its registered name, you register that name as a fictitious name (a “doing business as” name) with the Department of State. The fee is $70. See do you need a business license in Pennsylvania for other registrations.

Keep your name protected

A Pennsylvania LLC that does not file its annual report can eventually be administratively dissolved and lose the exclusive right to its name. File the $7 report by September 30 each year.
